Terms of Service

1. Who we are
RunYourOrg ("we," "our," or "us") operates the RunYourOrg platform and related services (collectively, the "Service"). These Terms of Service ("Terms") govern your access to and use of the Service.
By using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
RunYourOrg provides software-as-a-service (SaaS) tools for membership organizations, including website hosting, member management, events, payments, and content creation tools. We may add, modify, or remove features at any time.
3. Accounts
To use most of the Service you must create an account. You are responsible for keeping your credentials secure and for all activity under your account. Organizations ("Customers") are responsible for their administrators and members who access the Service on their behalf.
4. Customer content and data
You retain all ownership rights in the content you submit to the Service ("Customer Content"). You grant us a non-exclusive, worldwide license to host, display, and process your Customer Content solely for the purpose of operating the Service for you.
You are responsible for the content you and your members publish, and for complying with applicable laws.
5. Payments
Subscription fees for the Service (if any) are billed in advance on the interval you select. Membership dues and other payments collected from your members are processed by Stripe under your connected Stripe account; funds flow directly to you, and we do not hold these funds. Fees are non-refundable except where required by law.
6. Acceptable use
You agree not to (a) use the Service to violate any law, (b) upload malicious code or content, (c) attempt to gain unauthorized access to the Service or other customers' data, or (d) use the Service to send spam or harass others.
7. Termination
You may cancel your account at any time. We may suspend or terminate your access for material breach of these Terms, non- payment, or conduct that harms the Service or its users. On termination, we will provide a reasonable window for you to export your Customer Content.
8. Disclaimer of warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
9. Limitation of liability
To the maximum extent permitted by law, our total liability arising from or related to the Service shall not exceed the amounts you paid us in the twelve (12) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.
10. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms and update the effective date. Material changes will be communicated by email or in-product notice.
11. Governing law
These Terms are governed by the laws of the State of Florida and the United States, without regard to conflict-of-law principles.
